Healthcare Enterprise Group PLC announces that at the General Meeting held earlier today all resolutions were passed.

As a consequence of these resolutions, the ordinary share capital of the Company is being reorganised by subdividing each of the Existing Ordinary Shares of 2.5 pence each into one New Ordinary Share of 0.1 pence per share and one Deferred Share of 2.4 pence each. Each resulting New Ordinary Share will, effectively, have the same rights (including voting and dividend rights and rights on a return of capital) as each Existing Ordinary Share.

 

The Deferred Shares will not entitle their holders to receive any dividend or other distribution and shall on a return of assets in a winding up of the Company entitle the holders only to the repayment of the amounts paid upon such shares after the amount paid to holders of the New Ordinary Shares exceeds £10,000 per New Ordinary Share and will in order of payment rank pari passu with the existing deferred shares issued pursuant to the extraordinary general meeting of the Company held on 10 March 2003.

 

The holders of the Deferred Shares will not have any right to receive notice of any general meeting of the Company nor any right to attend, speak or vote at any such meeting. The Deferred Shares will also be incapable of transfer (other than to the Company) and no share certificates will be issued in respect of them. The Capital Reorganisation will become effective on admission of the New Ordinary Shares to trading on AIM which is expected to be 3 March 2008.

The ISIN for the Existing Ordinary Shares, GB00B047X073, will remain valid and therefore no new Ordinary Shares will be credited to stock accounts in CREST. Share certificates for the Existing Ordinary Shares will also remain valid.
